Corporations Resolutions and Minutes Law & Legal Definition
A resolution is a a determination of policy of a corporation by the vote of its board of directors. The minutes are the written record of meetings, particularly of boards of directors and/or shareholders of corporations, kept by the secretary of the corporation or organization.
