Bespeaks-Caution Doctrine Law and Legal Definition
In Securities law, the bespeaks-caution rule states that if soft information in a prospectus comes along with a cautionary language that warns the investors about the actual results or events which may affect performance, then the soft information may not be substantially misleading to investors. Soft information may consist of forecasts, opinions, estimates, and projections about future performance.
