Forum-Selection Clause Law and Legal Definition
Forum selection clause is a contractual provision that specifies where the parties will fight out any disputes that arise between them. This clause provides that all disputes will be resolved in a particular court and waives the right to file suit any where else.
A forum-selection clause is "prima facie valid and should be enforced unless enforcement is shown by the resisting party to be 'unreasonable' under the circumstances." [Kiswire Trading Inc. v. M/V Hoegh Merch., 2002 U.S. Dist. LEXIS 9475, 2-3 (N.D. Cal. May 8, 2002)]
