Manager (Corporate Law) Law and Legal Definition
A manager is a person who possesses the same rights, duties, obligations, and privileges as a person who is both a director and officer of a corporation for profit. All managers named in the articles of incorporation must be natural persons. A manager cannot delegate any of his/her authority to any other agent, employee, or representative of a corporation unless such an authority is provided under the articles of incorporation or granted by act of the investors. Generally, a manager can be replaced or succeeded by a new manager by a majority of the voting power of the investors.
