A meeting of the minds is a term used in contract law to refer to the mutual understanding and agreement on the same terms applicable to a contract. Mutual comprehension is essential to a valid contract. It is shown by the expressed provisions of a written contract, without reference to any statements or unstated intentions outside the writing. A hidden motive or meaning held by one party will not alter the terms of the contract.
However, when there has been a mutual mistake or one party knew or had reason to know of the other party's undisclosed intent, the mistake or hidden intent may affect the interpretation of the contract.
