Uncertificated Security Law and Legal Definition
Under the Uniform Commercial Code, uncertificated security is a share or other interest in property or an enterprise, or an obligation of an issuer that is not represented by an instrument but is registered on the issuer’s books. This interest is not documented but it is registered. Uncertificated security was referred to as uncertified security in previous versions of the UCC.
