Voting Agreements(Corporate Law) Law and Legal Definition
Voting agreement is an agreement or plan under which two or more shareholders pool their voting shares for a common objective. It is also known as pooling arrangement.
A voting agreement is defined by one state statute as follows:
“A. Two or more shareholders may provide for the manner in which they will vote their shares by signing an agreement for that purpose.
B. Unless otherwise provided in the voting agreement, a voting agreement created under this section is specifically enforceable”. [A.R.S. § 10-731]
