Written Resolution Law and Legal Definition
Written resolution refers to a resolution passed outside a general meeting by members of a private company. Such a resolution can be passed as an ordinary resolution or as a special resolution. Usually, a written resolution does not dismiss a director or auditor of the company. A written resolution is legally valid, as it carries the signatures of all members who are entitled to vote.
